Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Umney Connect cloud communications and CRM platform (the “Service”), including websites at umneyconnect.com and related applications, APIs, browser dialers, SIP connectivity, and dashboards operated by Umney Connect (“Umney”, “we”, “us”, or “our”).
By creating an account, inviting users, connecting telephony providers, or otherwise using the Service, you agree to these Terms on behalf of yourself and the organisation you represent (“Customer”, “you”). If you do not agree, do not use the Service.
1. Definitions
- “Organisation” or “Tenant” means a Customer workspace whose data and users are logically isolated within the multi-tenant Service.
- “Authorised User” means an individual you permit to access your Organisation.
- “Customer Data” means content, contacts, call detail records (CDR), recordings (where enabled), configurations, and other data you or your users submit to the Service.
- “Telephony Providers” means third-party carriers and voice platforms (for example SIP trunk providers, Twilio, Telnyx, or other carriers you configure) that terminate or originate calls.
- “Subscription” means a paid or trial plan you select for one or more products (PBX, CRM modules, AI features, email, or other add-ons).
2. The Service
Umney Connect is a multi-tenant software platform that enables Organisations to operate business telephony (including browser-based softphones, SIP trunks, call routing, and CDR), CRM and contact workflows, role-based administration, billing, observability, and optional AI-assisted features.
We may add, modify, or deprecate features to improve security, reliability, or product quality. Material removals of core paid functionality will be communicated through the Service, email, or status notices where reasonably practicable.
The Service is designed for business use. It is not a substitute for emergency calling systems that must meet local PSAP/E911 regulatory obligations in every jurisdiction unless we expressly document a supported emergency-calling product and you configure it correctly.
3. Account registration and Organisations
You must provide accurate registration and billing information and keep it current. Each Organisation is responsible for:
- Designating administrators and assigning roles and permissions
- Managing invites, suspensions, and off-boarding of Authorised Users
- Securing credentials, API keys, and telephony secrets
- Ensuring Authorised Users comply with these Terms
You are responsible for all activity under your Organisation, including calls placed, recordings stored (if enabled), and configurations applied by your users or integrations.
We may refuse, suspend, or reclaim usernames, SIP identifiers, or tenant slugs that infringe trademarks, mislead users, or conflict with platform operations.
4. Licence and acceptable use
Subject to these Terms and timely payment of fees, Umney grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your active Subscription.
You and your Authorised Users must not:
- Violate applicable law, including telecom, privacy, anti-spam, export, sanctions, or consumer-protection rules
- Place or facilitate unlawful, fraudulent, harassing, or abusive calls or messages
- Bypass authentication, tenant isolation, rate limits, or billing controls
- Probe, scan, or load-test production systems without our prior written consent
- Reverse engineer the Service except to the extent permitted by mandatory law
- Resell, white-label, or provide the Service to third parties as a hosted communications bureau unless you have a written partner or reseller agreement with Umney
- Upload malware or content that infringes intellectual property or privacy rights of others
- Use the Service to compete with Umney by benchmarking for public disparagement without fair-use context, or to build a substantially similar competing product using our confidential materials
We may apply anti-fraud controls (for example blocked dial prefixes, velocity limits, or carrier-side filtering). You agree such controls may delay or block suspicious traffic.
5. Telephony, numbers, and third-party providers
Call quality, number availability, emergency calling, caller ID, and regulatory compliance for telephony depend significantly on Telephony Providers and on network conditions outside Umney’s control.
Unless expressly stated otherwise in your order form:
- You are responsible for obtaining and maintaining SIP trunks, carrier accounts, DID/DDI numbers, CNAM, and regulatory registrations required in your countries of operation
- Fees charged by Twilio, Telnyx, your SIP carrier, or other providers are separate from Umney Subscription fees and are governed by those providers’ terms
- You authorise Umney to exchange signalling, media metadata, and webhook events with providers you configure solely to deliver the Service
Umney is not liable for carrier outages, number porting delays, spam labelling by destination networks, or regulatory blocks imposed by governments or carriers.
6. Customer Data and privacy
You retain ownership of Customer Data. You grant Umney a worldwide licence to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Service, and as described in our Privacy Policy.
You represent that you have all rights and notices required to process personal data of your employees, customers, and callers through the Service (including recordings and CDR where enabled), and that your use complies with GDPR, UK GDPR, POPIA, CCPA/CPRA, or other applicable laws.
Our Privacy Policy explains how we process personal data as a controller for account and platform operations, and how we act as a processor for Customer Data you control. Where a Data Processing Addendum (DPA) is required, contact privacy@umneyconnect.com.
7. Security and confidentiality
Umney implements industry-standard administrative, technical, and organisational measures appropriate to a multi-tenant SaaS communications platform, including encryption in transit, tenant isolation controls, least-privilege access, logging, and vulnerability management. No method of electronic transmission or storage is completely secure; we do not warrant absolute security.
Each party must keep the other’s non-public technical, commercial, and customer information confidential and use it only for purposes of the relationship, except for information that is public, independently developed, or required to be disclosed by law (with notice where legally allowed).
8. Subscriptions, trials, and billing
Pricing, included products, usage allowances, and renewals are described on our Pricing page, in-product billing screens, or an order form. Fees are billed in advance for Subscription periods unless otherwise stated. Usage-based charges (for example carrier-related or metered AI usage, if applicable) may be billed in arrears.
- Unless required by law, fees are non-refundable once a billing period begins
- You authorise us and our payment processors (for example Stripe or Paystack) to charge your payment method for recurring fees
- Failure to pay may result in suspension or termination after notice
- Trials convert to paid plans as stated at signup unless cancelled before trial end
- Taxes may be added where required; you are responsible for taxes except taxes on Umney’s net income
Downgrades may reduce capacity, retention, or features; we are not obliged to retain data beyond plan limits after a downgrade.
9. Service levels and support
We design the Service for high availability using globally distributed edge infrastructure. Unless a separate written SLA applies to your plan (Enterprise or custom order), the Service is provided on a commercially reasonable efforts basis without guaranteed uptime percentages.
Support channels and response targets vary by plan. Critical incidents should be reported to support@umneyconnect.com with Organisation ID, timestamps, and reproduction details.
Planned maintenance will be scheduled to minimise disruption where practical. Emergency security patches may be applied without prior notice.
10. Intellectual property
Umney and its licensors own the Service, software, documentation, brand, and related IP. Feedback you provide may be used by Umney without obligation. Customer Data remains yours. Third-party trademarks (for example Twilio, Telnyx) belong to their respective owners and do not imply endorsement beyond technical integration.
11. Warranties and disclaimers
EACH PARTY REPRESENTS IT HAS AUTHORITY TO ENTER THESE TERMS. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMNEY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CALLS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM CARRIER OR INTERNET FAILURES.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMNEY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO UMNEY FOR THE SERVICE IN THAT PERIOD (OR ONE HUNDRED US DOLLARS IF YOU ARE ON A FREE TRIAL).
UMNEY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
Nothing in these Terms excludes liability that cannot be limited under applicable law (for example fraud or death/personal injury caused by negligence where such limitation is prohibited).
13. Indemnity
You will defend and indemnify Umney against claims arising from: (a) Customer Data or your calling/content; (b) your misuse of telephony or violation of telecom law; (c) your breach of these Terms; or (d) disputes between you and your end customers or carriers.
14. Suspension and termination
We may suspend access immediately for security risk, non-payment, legal demand, or material breach. Either party may terminate for convenience at the end of a Subscription term by following in-product cancellation or written notice as applicable. Upon termination, your right to access the Service ends. We may delete or anonymise Customer Data after a reasonable retention window consistent with our Privacy Policy and backups, unless a longer retention is required by law or agreed in writing.
Export tools (where available) should be used before termination if you need copies of Customer Data.
15. Export, sanctions, and anti-corruption
You must not use the Service in violation of export controls or sanctions administered by the US, UK, EU, UN, or your local authority. You must not bribe or improperly influence officials in connection with the Service.
16. Changes to Terms
We may update these Terms. Material changes will be posted on this page with an updated “Last updated” date and, for paid customers, notified by email or in-product notice where reasonably practicable. Continued use after the effective date constitutes acceptance. If you object, stop using the Service and cancel before the new Terms apply.
17. Governing law and disputes
Unless a signed order form states otherwise, these Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts of England and Wales have exclusive jurisdiction, except that Umney may seek injunctive relief in any court for IP or misuse of the Service. Consumers in jurisdictions with mandatory protections retain those rights.
18. General
These Terms (plus Privacy Policy, DPA if executed, and order forms) are the entire agreement regarding the Service and supersede prior oral or written terms on the same subject. If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. You may not assign these Terms without our consent except to an affiliate or successor in connection with a merger or sale of substantially all assets; Umney may assign to an affiliate or successor. Notices may be sent to your admin email or posted in the Service.
